Terms and Conditions

agentesIA is a product operated by R2CLabs.

agentesIA is a software-as-a-service (SaaS) product that allows customers to create and operate artificial intelligence agents for customer support, sales, and other conversational processes through different channels and integrations.

You are responsible for providing accurate information when creating and using your account, keeping your credentials secure, and controlling activity performed through your account.

You are also responsible for ensuring that anyone you give access to your organization or account is authorized to use the service.

You may stop using the service or request closure of your account at any time, subject to the billing and data-retention provisions in these terms and our Privacy Policy.

Some agentesIA features require a paid subscription.

Applicable prices, features, and limits are shown before you purchase a plan. Unless expressly stated otherwise, subscriptions are recurring and automatically renew at the end of each billing period until cancelled.

For transactions processed through Paddle, Paddle.com acts as our online reseller and Merchant of Record. Paddle processes the payment, applicable billing, and transaction-related customer service enquiries and returns.

R2CLabs licenses and provides the agentesIA service, while Paddle acts as the seller to the buyer for transactions it processes as Merchant of Record.

By purchasing a subscription, you authorize recurring charges for the selected plan until the subscription is cancelled.

If a payment fails or a subscription is no longer active, we may restrict or suspend access to paid features until the issue is resolved.

You may cancel a subscription to prevent future renewals.

Unless otherwise stated at the time of purchase, cancellation takes effect at the end of the already-paid billing period, and you may continue using the applicable features until that time.

Cancellation does not, by itself, create an automatic prorated refund for the current billing period.

Any refund is governed by our Refund Policy, Paddle's applicable terms, and any mandatory rights available under applicable law.

You may not use agentesIA to:

• carry out illegal activities;
• send spam or unsolicited communications in violation of applicable rules;
• commit or automate fraud;
• misleadingly impersonate another person or organization;
• infringe the rights of third parties;
• attempt to gain unauthorized access to systems, accounts, or data;
• deliberately interfere with the security or operation of the service; or
• use the service in a way that may harm R2CLabs, agentesIA, our providers, or third parties.

We may restrict or suspend an account where we reasonably believe there has been a breach of these terms, a security risk, or abusive use of the service.

You retain the rights you hold in content and data that you upload or generate through your use of agentesIA, including knowledge bases, configurations, and conversations, subject to the rights of third parties.

You grant us only the permissions necessary to process that data in order to provide, maintain, protect, and improve the service as described in our Privacy Policy.

You are responsible for having the permissions and lawful basis required to provide agentesIA with personal data or content belonging to third parties.

The software, brand, design, code, interfaces, and other proprietary elements of agentesIA and R2CLabs are protected by applicable intellectual-property laws.

These terms do not transfer ownership of the software or brand to you.

While you maintain a valid account, we grant you a limited, non-exclusive, non-transferable right to use the service in accordance with your subscribed plan and these terms.

agentesIA may interact with third-party services, including messaging, artificial intelligence, infrastructure, integration, and payment providers.

The availability or operation of those services may depend on their respective providers and may be subject to their own terms.

We do not control third-party services and cannot guarantee their uninterrupted operation.

We take reasonable steps to keep agentesIA available and operational, but we do not guarantee uninterrupted availability or a complete absence of errors.

We may modify, improve, replace, or discontinue features where necessary to maintain or develop the service.

Where a change materially affects a purchased service, we will seek to provide reasonable advance notice where practical.

To the maximum extent permitted by applicable law, agentesIA is provided as-is and as-available.

R2CLabs will not be liable for indirect damages, loss of business opportunities, lost profits, or consequences arising from interruptions or third-party services, except where applicable law provides otherwise.

To the extent permitted by law, R2CLabs' total liability relating to the service will not exceed the amount actually paid by the customer for agentesIA during the 12 months preceding the event giving rise to the claim.

Nothing in this section limits rights or liabilities that cannot lawfully be limited.

We may update these terms where necessary due to changes in the service, legal requirements, providers, or business practices.

If a change is material, we will seek to provide reasonable advance notice.

Continued use of the service after updated terms take effect constitutes acceptance of the new version where permitted by applicable law.

These terms are governed by the laws of the Oriental Republic of Uruguay, without prejudice to any mandatory consumer rights that may apply under other applicable laws.

Unless a mandatory rule provides otherwise, any dispute relating to these terms will be subject to the competent courts of Montevideo, Uruguay.
